1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you and Kern IT (company number BE0845906217, Rue Belliard 2A, 1040 Brussels, Belgium), the operator of Negosim ("we", "us"), regarding your use of the Negosim platform available at negosim.ai (the "Service").
By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Negosim is a training tool. It lets you practise negotiation in simulated scenarios with an AI counterpart, receive an automated score and analysis of your performance, and optionally share completed sessions publicly.
The AI counterpart and the analysis are generated by a large language model. They are simulations for educational purposes only. They do not constitute professional, legal, financial or career advice, and we make no guarantee that the AI behaves like a real negotiator or that scores reflect real-world outcomes.
We may change, suspend or discontinue any part of the Service at any time, subject to applicable law and, for paid plans, to section 6.
3. Accounts and eligibility
- You must be at least 16 years old to use the Service.
- You must provide a valid e-mail address. Sign-in is passwordless: we send a one-time link to that address, and you are responsible for keeping access to it secure.
- Access may be subject to a waiting list or invitation. We may decline or delay the activation of an account at our discretion.
- One person, one account. Do not share, sell or transfer your account.
- Your username is visible to other users on public sessions and leaderboards. Choose it accordingly.
4. Credits, plans and payment
Playing a scenario consumes one credit. Credits come from a free allowance, a subscription plan, or credit packs purchased in the store.
- Free plan: a fixed number of lifetime credits, without payment.
- Subscriptions: billed monthly in advance. Credits are granted at each renewal; unused credits do not carry over unless stated otherwise on the pricing page.
- Credit packs: one-time purchases. Pack credits do not expire while your account is active.
- Prices are shown in euros, VAT included where applicable, on the pricing page.
- Payments are processed by Stripe. We do not store your card details.
- A credit spent on a session is refunded only if you cancel the session before sending any message.
Right of withdrawal
If you are a consumer in the European Union you normally have a 14-day right of withdrawal on distance purchases. Because credits are digital content delivered immediately, by purchasing a plan or credit pack you expressly request immediate delivery and acknowledge that you lose the right of withdrawal once credits have been made available to you. Credits that have not been used remain refundable during those 14 days on request at legal@kernit.be.
Cancellation
You can cancel a subscription at any time from your account or the Stripe billing portal. Cancellation takes effect at the end of the current billing period; you keep access until then.
5. Acceptable use
You agree not to:
- attempt to manipulate, jailbreak or extract the instructions of the AI counterpart, or use the Service to generate content unrelated to negotiation training;
- submit content that is unlawful, hateful, harassing, sexually explicit, or that infringes third-party rights;
- upload personal data of third parties, confidential business information or trade secrets into a scenario;
- use bots, scripts or multiple accounts to farm credits, scores or leaderboard positions;
- probe, scan or disrupt the Service or its infrastructure, or bypass any access or rate limits;
- resell or commercially exploit the Service without a written agreement with us.
We may suspend or terminate accounts that breach these rules. Credits attached to a terminated account for abuse are forfeited.
6. Content and intellectual property
The Service, its scenarios, software, design and trademarks belong to Kern IT or its licensors. You receive a personal, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.
You keep the rights to the messages you write. You grant us a worldwide, royalty-free licence to store, process and display them to operate the Service (including generating the AI replies and your analysis) and, if you make a session public, to display it to other users. You can make a session private again at any time on eligible plans.
AI-generated replies and analyses are provided "as is". You may use them for your personal training; we do not claim ownership of them.
7. Availability and liability
We aim for a reliable Service but do not guarantee uninterrupted or error-free operation, in particular because the Service depends on third-party AI and payment providers.
To the extent permitted by law, our total liability towards you for any claim arising from the Service is limited to the amounts you paid us in the twelve months preceding the claim. We are not liable for indirect damages, loss of profits or decisions you take on the basis of AI-generated content. Nothing in these Terms limits liability for fraud, gross negligence or wilful misconduct, or any liability that cannot be limited under Belgian consumer law.
8. Termination
You may delete your account at any time from your profile page. We may terminate or suspend your access for breach of these Terms, for legal reasons, or if we discontinue the Service, with reasonable notice where possible. Sections 6, 7 and 10 survive termination.
9. Changes to these Terms
We may update these Terms. Material changes are announced by e-mail or in the app at least 15 days before they take effect. Continued use after that date constitutes acceptance; if you disagree, you may cancel your subscription before the changes apply.
10. Governing law and disputes
These Terms are governed by Belgian law. Disputes are submitted to the courts of Brussels, without prejudice to mandatory consumer protection rules of your country of residence. EU consumers may also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.
